During the Forum we`ll discuss innovations in corporate law and corporate governance, particularly – about reforms of corporate governance with a significant share of the state. Also on the agenda: independent director institute; Anti-corruption programs, as the area of responsibility of the Supervisory Board; the problem of assessing the level of corporate governance; а transparent system of corporate governance, as a signal to investors and other topical issues, taking into account the specifics of doing business in the Ukrainian market. Focus of the Forum – the role and functions of the corporate secretary in modern joint-stock companies. The role of corporate secretary is rising in the process of developing corporate governance practices. The coordination of the management bodies of the company and the exchange of the information between management and shareholders (participants) depend exact on corporate secretary. Therefore, it's not a technical position. In international practice, it's a person who is responsible for the organization of all the company’s work on corporate governance issues. In Ukraine, the corporate secretary position is not a new and is the most “international” between other topics of corporate governance, as it is not regulated by national legislation, and the requirements for corporate secretaries are formed on base of "best practice". High level of professionalism of corporate secretary means high level of corporate governance. No wonder that in the UK corporate secretaries are often called "a hand behind the throne" and the level of their salaries is usually among the top 10 in the company.
